The following documents are used as a starting point when negotiating contracts between WSURF and an external entity.

Confidential Disclosure Agreement (CDA)

This example is a "One-Way CDA" for circumstances where a company would simply like to learn more about the non-public attributes of a technology. We also have a Mutual CDA, which generally contains the same language but involves a two-way exchange of information.

Our CDA is fairly standard, containing guidelines for the transfer and use of confidential information.

Material Transfer Agreement (MTA)-For-Profit

The document provided here is an MTA specific to a situation where a material is being transferred to a for-profit entity for an evaluation and/or for use in a for-profit context. MTA's can vary quite broadly depending on the material and the nature of the organization to which material is being transferred. Option Agreement

The option agreement is a short-term license, that allows a company to evaluate a technology for a set period of time. During this period, WSURF will not to engage other organizations regarding their licensing interests.

License Agreement

This is our standard exclusive license with sublicensing rights template. Since every technology is unique in both value and nature, the structure of each license agreement and the relevant financial terms will vary. Through open and honest communication in the negotiation process, we make our best efforts to structure a license agreement to create a 'win win' situation.
